We build custom software, cloud solutions, and automations under agreed project scopes. When you pay for bespoke work, you own the custom code and deliverables. We respect your confidential data and resolve questions transparently.
1. Introduction & Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether personally or on behalf of an entity, “Client”, “you”) and Flovo (“Flovo”, “we”, “us”, or “our”), governing your access to and use of the website located at https://flovo.in as well as all technology consulting, software development, cloud infrastructure, and automation services delivered by Flovo.
By accessing our website, requesting a project proposal, or entering into an agreement for engineering services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you possess the authority to bind that entity.
2. Scope of Services & Statements of Work
Flovo provides technology engineering services spanning custom web and backend applications, cloud infrastructure architecture (AWS, GCP, Azure), DevOps CI/CD pipelines, business automation workflows, database design, and ongoing software maintenance.
Professional client engagements are formally executed under one or more written Statements of Work (“SOW”), Service Orders, or technical proposals agreed to in writing or electronic sign-off. Each SOW specifies:
- The defined technical scope, deliverables, and acceptance criteria;
- Estimated timelines, project phases, and key sprint milestones;
- Commercial terms, payment schedules, and third-party infrastructure requirements;
- Any engagement-specific assumptions, dependencies, or service level commitments.
In the event of an explicit conflict between these general Terms and an executed SOW, the terms of the executed SOW shall prevail for that specific engagement.
3. Intellectual Property Rights & Ownership
Clear intellectual property ownership is fundamental to our collaborative approach:
- Client Deliverables & Bespoke Code: Upon full and final settlement of all milestone fees due under the applicable SOW, Client shall be the sole and exclusive owner of all right, title, and interest in and to custom source code, specialized workflows, user interface designs, and documentation developed specifically for the Client (“Deliverables”).
- Flovo Pre-Existing Tooling & Foundations: Flovo retains all intellectual property rights in its pre-existing libraries, utility packages, developer tooling, scripts, and architectural templates developed prior to or independent of the engagement (“Flovo Tools”). Flovo grants Client a perpetual, irrevocable, royalty-free, worldwide, non-exclusive license to use, modify, and deploy such Flovo Tools strictly as integrated within the delivered system.
- Open-Source Components: Software solutions may incorporate third-party open-source dependencies (e.g., Next.js, React, Node.js, PostgreSQL). Such components remain subject to their respective open-source licenses (such as MIT, Apache 2.0, or BSD), and are not transferred as proprietary property.
4. Client Responsibilities & Cooperation
Successful software engineering requires active, timely collaboration. Client agrees to:
- Provide reasonable access to technical environments, repository permissions, API credentials, and testing data necessary to execute the agreed scope;
- Designate a primary technical or business contact authorized to provide timely feedback, clarifications, and formal milestone approvals;
- Review deliverables within the agreed acceptance testing window (typically seven to fourteen calendar days from deployment to staging);
- Maintain valid licenses for any third-party software, commercial APIs, or cloud infrastructure services subscribed to directly by the Client.
5. Fees, Invoicing & Commercial Terms
Fees for engineering services are billed based on fixed-milestone pricing, time-and-materials estimates, or agreed monthly retainers as specified in the relevant SOW.
- Invoicing Schedule: Invoices are issued upon contract initiation, completion of predetermined sprint milestones, or on a scheduled monthly billing date.
- Payment Terms: Unless otherwise specified in the SOW, invoices are payable within fifteen (15) calendar days from receipt via bank wire transfer, NEFT/RTGS, or electronic payment gateway.
- Taxes: Fees are exclusive of applicable taxes. For Indian clients, Goods and Services Tax (GST) will be charged at statutory rates. International clients are responsible for any local withholding taxes or cross-border payment remittance fees.
- Overdue Accounts: In the event an invoice remains unsettled past thirty (30) days from due date, Flovo reserves the right to pause active development or staging access until outstanding balances are cleared.
6. Confidentiality & Non-Disclosure
Both Flovo and Client agree to maintain the strict confidentiality of all proprietary information disclosed during the course of the engagement, including but not limited to business logic, customer databases, technical architectures, financial data, and trade secrets (“Confidential Information”).
Neither party shall disclose Confidential Information to any third party without prior written consent, except to employees, subcontractors, or legal advisors who need to know such information to deliver the project and are bound by confidentiality obligations at least as stringent as these Terms. Confidentiality obligations survive for a period of three (3) years following contract termination.
7. Warranties, Disclaimers & Service Standards
Flovo warrants that services will be performed in a professional, workmanlike manner consistent with recognized engineering industry best practices and standards.
Except as expressly warranted herein, the website, tools, and deliverables are provided on an “as is” and “as available” basis. Flovo disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Flovo does not guarantee that third-party cloud platforms (such as AWS, Cloudflare, Google Cloud, or Vercel) will operate without interruption or technical downtime.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event shall either party be liable to the other for indirect, special, incidental, consequential, or punitive damages, including loss of profits, loss of revenue, business interruption, or loss of business data, even if advised of the possibility of such damages.
- Flovo's total aggregate liability arising out of or related to any engagement or use of the website shall be strictly capped at the total amount paid by Client to Flovo under the specific Statement of Work giving rise to the claim during the six (6) months preceding the event.
9. Term & Termination
Either party may terminate an engagement or SOW:
- For Convenience: By providing thirty (30) days written notice to the other party;
- For Cause: Immediately upon written notice if the other party commits a material breach of these Terms or the SOW and fails to cure such breach within fourteen (14) days of receiving formal notice.
Upon termination, Client shall pay Flovo for all services performed and milestones completed up to the effective termination date. Upon receipt of such payment, Flovo shall deliver all completed work products and client documentation to date.
10. Governing Law & Dispute Resolution
These Terms and any project engagements shall be governed by, construed, and enforced in accordance with the substantive laws of India, without reference to conflict of laws principles.
In the event of any controversy, dispute, or claim arising out of or relating to these Terms, the parties agree to first attempt resolution through good-faith executive discussion for a period of thirty (30) days. If unresolved, the courts of competent jurisdiction located in Bengaluru, Karnataka, India shall have exclusive jurisdiction to settle any dispute.
11. Contact, Modifications & Notices
Flovo reserves the right to update these Terms periodically to reflect evolving technology standards, statutory changes, or business practices. Significant changes will be noted on this page with an updated revision date.
